Terms and Conditions

1. Acceptance of Terms
The following terms and conditions govern all use of the Justfolio platform, including websites, business apps, AI agents, and any other products or services made available through justfolio.com (collectively, the "Service"). By accessing or using any part of the Service, you agree to be bound by this Agreement. If you do not agree, you may not use the Service. The Service is available only to individuals who are at least 18 years old, or the age of legal majority in their jurisdiction.

2. Description of Service
Justfolio provides a platform that enables users to create websites, deploy business applications (booking, invoicing, inventory, CRM, and others), and configure AI-powered agents (chatbots for customer support, FAQ, lead generation, and others). The Service includes AI-assisted content generation and configuration tools. Justfolio offers free and paid subscription plans as described on our pricing page.

3. Accounts and Registration
You must provide a valid email address and accurate information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify Justfolio immediately of any unauthorized use. You confirm that all personal data provided is true and complete, and you agree to keep it updated.

4. Subscription Plans, Billing, and Payments
Justfolio offers a free Starter plan and paid plans (Pro, BYOK, and others as listed on our pricing page). Paid plans are billed monthly on a recurring basis. By subscribing to a paid plan, you authorize Justfolio to charge your selected payment method on a recurring monthly basis until you cancel. All prices are listed in US Dollars. Justfolio may change pricing with 30 days' notice. Free trial periods, where offered, convert to paid subscriptions at the end of the trial unless cancelled. You may cancel at any time from your account dashboard. Upon cancellation, no further charges will be made, and you retain access until the end of your current billing period. 5. User Content and Responsibility
If you create websites, configure apps, deploy AI agents, or otherwise make material available through the Service (collectively, "Content"), you are entirely responsible for that Content and any consequences arising from it. By making Content available, you represent and warrant that:

The Content does not infringe the intellectual property rights (copyright, patent, trademark, trade secret) of any third party;
If your employer has rights to intellectual property you create, you have obtained appropriate permission or waiver;
The Content does not contain viruses, malware, or other harmful code;
The Content is not spam, and does not contain unwanted commercial material designed to drive traffic to third-party sites, boost search rankings, or further unlawful acts such as phishing or spoofing;
The Content is not pornographic, does not contain threats or incite violence, and does not violate the privacy or publicity rights of any third party;
Your account and content are not promoted via spam or unsolicited messages;
Your site, app, or agent is not named or configured to impersonate another person or company.

6. AI-Generated Content
The Service uses artificial intelligence to help generate website content, configure business apps, and train AI agents. AI-generated content is provided as a starting point and may require your review and editing. You are solely responsible for reviewing, approving, and publishing any AI-generated content. Justfolio does not guarantee the accuracy, completeness, or appropriateness of AI-generated output. You retain ownership of content you create or publish through the Service, including content generated with AI assistance.

7. BYOK (Bring Your Own Key)
If you use the BYOK plan with your own third-party AI API key, you are solely responsible for your API key, its usage, associated costs from the third-party provider, and compliance with that provider's terms of service. Justfolio is not liable for charges incurred on your third-party AI account or for any issues arising from your API key usage.

8. AI Agents and Chatbots
AI agents you create and deploy through the Service interact with your website visitors on your behalf. You are responsible for the behavior and responses of your AI agents, including ensuring they do not provide misleading, harmful, or illegal information. You must clearly disclose to your end users that they are interacting with an AI-powered chatbot.

9. Prohibited Uses
You may not use the Service to: (a) violate any applicable law or regulation; (b) infringe the rights of others; (c) distribute prohibited or objectionable content (including pornographic, racist, extremist, or hateful material); (d) use the platform for spamming or link-building schemes; (e) attempt to gain unauthorized access to the Service or other users' accounts; (f) use AI agents to impersonate real individuals or organizations without authorization; (g) use AI agents to collect personal data without proper consent and disclosure. In the event of claims arising from content you have placed on the Service, you agree to indemnify and hold Justfolio harmless from any claim or demand.

10. Data and Backups
You are responsible for regularly backing up your data. Justfolio is not liable for loss of data or unauthorized access to user data by third parties. You acknowledge that data transmitted over the Internet may be accessible to unauthorized parties.

11. Content License
By submitting Content to Justfolio, you grant Justfolio a worldwide, royalty-free, non-exclusive license to reproduce, modify, adapt, and publish the Content solely for the purpose of displaying, distributing, and promoting your site, app, or agent. If you delete Content, Justfolio will use reasonable efforts to remove it, but caching or references may not be immediately unavailable.

12. Justfolio's Rights
Justfolio reserves the right (though not the obligation) to: (a) refuse or remove any content that violates this Agreement or is harmful or objectionable; (b) terminate or deny access to the Service to any user for any reason; (c) use third-party services in providing the Service. Justfolio will not transfer your personal data to third parties unless you expressly agree or the transfer is necessary to fulfill the Service (e.g., domain registration with a registrar, payment processing).

Domain Names and URLs

13. When registering, you will receive a justfolio.com subdomain (e.g., username.justfolio.com). All plans, including the free Starter plan, may connect a custom domain. If you register or transfer a domain name, you acknowledge that its use is also subject to ICANN policies. You may not use a Justfolio URL to impersonate another person or entity. Justfolio reserves the right to refuse or cancel any URL at its discretion.

Service Availability

14. Justfolio will endeavor to keep the Service available at all times. However, uninterrupted availability cannot be guaranteed due to technical factors, maintenance, or external dependencies. Temporary access restrictions do not constitute grounds for warranty claims or termination rights.

Disclaimer of Warranties

15. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. JUSTFOLIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

Limitation of Liability

16. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTFOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. JUSTFOLIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO JUSTFOLIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Termination

17. Justfolio may terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account by discontinuing use and cancelling any paid subscription from your dashboard. All provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability. Free accounts inactive for 180 days may be deleted permanently.

Changes

18. Justfolio reserves the right to modify this Agreement at any time. Material changes will be communicated via email or a notice on the Service. Your continued use after changes are posted constitutes acceptance. New features and services are subject to this Agreement.

Governing Law

19. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved in the courts located in Delaware.
